Welcome to the Rivo Paints Online PDF Editor ("Service"), operated by Rivo Paints Inc. ("Company," "we," "us," or "our"), a corporation headquartered at 1601 Blake St, Denver, CO 80202, United States. By creating an account, accessing, or using the Service, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
The Rivo Paints Online PDF Editor is a cloud-based software-as-a-service (SaaS) platform that enables users to edit, annotate, merge, sign, and manage PDF documents through a web browser. The Service includes, but is not limited to, PDF annotation tools, document merging and splitting, electronic signature capabilities, inline text editing, cloud storage, and team collaboration features.
To access certain features of the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@rivopaints.com.
The Service is offered under three subscription tiers: Free, Professional, and Enterprise. Paid subscriptions are billed on a monthly or annual basis, as selected at the time of purchase. By subscribing to a paid plan, you authorize us to charge your designated payment method at the beginning of each billing cycle. Prices are listed in US Dollars and are subject to change with 30 days' prior notice.
Annual subscriptions are billed as a single upfront payment for the entire year. Monthly subscriptions are billed at the start of each calendar month. All fees are non-refundable except as described in our Subscription & Refund Policy.
You retain all ownership rights to the documents and content you upload to the Service ("User Content"). By uploading User Content, you grant Rivo Paints a limited, non-exclusive license to process your content solely for the purpose of providing the Service. We do not access, review, or use your documents for any purpose other than delivering the editing, storage, and collaboration features you have requested.
The Service itself, including its design, code, documentation, and all associated intellectual property, is owned by Rivo Paints Inc. and is protected by copyright, trademark, and other intellectual property laws of the United States.
You agree not to use the Service to:
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to scheduled maintenance (with advance notice), emergency maintenance, force majeure events, or circumstances beyond our reasonable control. Enterprise customers may be eligible for a separate Service Level Agreement with additional availability guarantees and remedies.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in the Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIVO PAINTS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Rivo Paints Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
You may terminate your account at any time through your account settings or by contacting us at support@rivopaints.com. We may suspend or terminate your access to the Service at our discretion if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted.
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Denver, Colorado, except that either party may seek injunctive relief in any court of competent jurisdiction.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
